SF PRIDE TERMS OF SERVICE & CODE OF CONDUCT
1. Scope and Acceptance of Terms
1.1 Parties and Agreement
These Terms of Service (the “Terms”) constitute a legally binding agreement between San Francisco Pride, Inc., a California nonprofit corporation (“SF Pride,” “we,” “us,” or “our”), and any User (as defined below). By accessing, using, or registering for any SF Pride service, membership, event, or property (including the annual Parade and Festival), the User agrees to be bound by these Terms, the SF Pride Privacy Policy, and all applicable federal, state, and local laws.
1.2 Definition of Users
For the purpose of these Terms, “User” includes:
- Attendee: Any individual physically present at the SF Pride Parade, Festival, or any affiliated event.
- Registrant/Participant: Any individual or entity that registers a contingent, vehicle, booth, or performance (e.g., corporate sponsors, community groups, vendors).
- Member: An individual with approved, formal, dues-paying membership status in the non-profit organization.
- Volunteer/Staff: Any individual providing services on behalf of SF Pride without or with compensation.
2. Event and Attendance Rules (Attendees and Participants)
2.1 General Code of Conduct
All Users must adhere to the following Code of Conduct. Failure to comply may result in immediate removal from the event site, revocation of participation/membership status, and referral to law enforcement.
- Respectful Conduct: Harassment, discrimination, intimidation, or offensive conduct based on race, color, national origin, religion, gender identity, gender expression, sexual orientation, disability, or any other protected status is strictly prohibited.
- Safety: Users shall not engage in any conduct that endangers the health, safety, or welfare of other attendees, participants, or staff.
- Compliance: Users must follow the instructions of SF Pride staff, volunteers, law enforcement, and security personnel at all times.
2.2 Prohibited Items and Activities
The following are strictly prohibited within the Festival perimeter and Parade route:
- Weapons of any kind, including firearms (regardless of permit), knives, or sharp objects.
- Illegal drugs or substances.
- Excessive or unauthorized amplification equipment.
- Unlicensed sales or solicitation (see Section 3.2).
- Drone operation without explicit, written permission from SF Pride and relevant governmental agencies (FAA, etc.).
- Large coolers, glass bottles, and unauthorized alcoholic beverages.
2.3 Assumption of Risk (Liability Waiver)
By attending the Parade or Festival, the Attendee or Participant acknowledges and assumes all risks and hazards associated with being on the premises or participating in the event. This includes, but is not limited to, risks of property damage, personal injury, illness (including communicable diseases like COVID-19), or death. The Attendee or Participant, on behalf of themselves and their personal representatives, releases, waives, discharges, and covenants not to sue SF Pride, its officers, directors, staff, or sponsors from any and all liability for any loss, damage, or injury arising from attendance or participation.
3. Commercial Activity and Intellectual Property
3.1 Vendor and Participant Requirements (Registrants)
- Permitting and Insurance: All vendors, exhibitors, and parade contingents must provide proof of required liability insurance coverage and all applicable City and State permits (including health, fire, and business licenses) to SF Pride prior to the event deadline.
- Indemnification: Participants agree to indemnify, defend, and hold harmless SF Pride from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising out of the Participant’s activities, products, or conduct during the event.
3.2 Unauthorized Commercial Use
- No Vending: No User shall sell, market, or distribute any goods, merchandise, or services within the event premises or along the Parade route without a valid, executed Vendor Agreement or Sponsorship Contract with SF Pride.
- Intellectual Property (IP): The SF Pride logo, names, trade dress, and specific event designs are the exclusive IP of SF Pride. Users shall not use SF Pride IP for commercial gain without explicit written licensing.
3.3 Likeness and Content Release
- Photographic/Video Consent: By entering the event premises or participating, the User irrevocably grants SF Pride and its authorized agents the perpetual, royalty-free, worldwide right and license to photograph, record, or otherwise capture the User’s likeness, image, voice, and statements in any and all media for any purpose, including but not limited to promotion, advertising, and archiving.
4. Non-Profit Membership Terms (Members)
4.1 Eligibility and Dues
Membership is granted solely at the discretion of the SF Pride Board of Directors. Members must pay annual dues as set by the Board. Failure to pay dues or maintain eligibility criteria will result in the immediate termination of membership.
4.2 Governance and Confidentiality
- Compliance: Members must adhere to the non-profit’s Bylaws, Standing Rules, and all Board resolutions.
- Confidential Information: Members may gain access to non-public financial, operational, or strategic information. Members are strictly prohibited from disclosing, disseminating, or using such Confidential Information outside of their official duties to SF Pride. This obligation survives the termination of membership.
4.3 Termination of Membership
SF Pride reserves the right to suspend or terminate any membership, without refund, for:
- Violation of these Terms, the Code of Conduct, or the organization’s Bylaws.
- Conduct deemed detrimental to the mission, reputation, or interests of SF Pride.
- Theft, fraud, or misuse of SF Pride property or funds.
5. Technology and Online Services
5.1 Website and Online Payments
- Accuracy: Users are responsible for providing accurate and current information when registering, making payments, or applying for membership.
- Payment Processor: All financial transactions (dues, registration fees, donations) are processed by third-party services (e.g., Stripe). SF Pride is not responsible for any failures or breaches by the third-party payment processor. Users agree to abide by the processor’s terms and privacy policies.
- Security: Users shall not attempt to breach the security of the SF Pride website or payment systems, including but not limited to hacking, phishing, or introducing malicious code.
6. General Legal Provisions
6.1 Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms or the SF Pride events shall be exclusively brought in the state or federal courts located in the City and County of San Francisco, California.
6.2 Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed from the Terms, and the remaining provisions shall continue in full force and effect.
6.3 Modifications
SF Pride reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the official SF Pride website. Continued use of SF Pride services, participation in events, or maintenance of membership constitutes acceptance of the modified Terms.
